Your project agreement — payments, cancellations, approvals and ownership, for business and consumer customers.

01

Who you contract with

Your supplier is POSH GLOBAL SERVICES LTD (registered as POSH GLOBAL SERVICES LIMITED), company number 11627995, registered in England and Wales. Registered office and postal contact: 1 Winterberry Way, Nantwich, CW5 7NZ. Email: morola@poshglobalservices.co.uk. We are not VAT registered and do not charge VAT.

These Terms & Conditions apply to our web design and related services for both businesses and consumers. A consumer is an individual buying wholly or mainly outside their trade, business, craft or profession. Agreeing to these terms does not waive mandatory legal rights.

02

Your order and contract

Before payment, check the package description, total project price, deposit, balance, any recurring fees and agreed scope. A deposit is part payment of the total price, not the full project price. Do not pay if the total or scope is unclear: request written confirmation first. Any specific written proposal accepted by both parties forms part of the contract; mandatory rights always prevail.

A contract forms when your deposit payment is successfully confirmed for the agreed package. We will provide a confirmation by email with the scope, prices, payment schedule, expected timetable, these terms and applicable cancellation information in a form you can keep. An enquiry or free mockup request alone is not a paid order. If we cannot supply an order, we will promptly notify you and refund amounts paid for undelivered work.

Changes to these terms do not retrospectively alter an existing contract. Any material scope or price change requires agreement before additional work or charges.

03

Scope, mockups and approvals

Our packages cover starter websites, booking systems and ordering systems as described in your agreed order. Free mockups and the sample designs on this website are illustrative, not completed client results or a promise of identical results. A free mockup creates no obligation to buy.

The proposal should identify deliverables, included revisions, dependencies and any exclusions. Extra pages, integrations or revisions outside that scope require an agreed written quote. We seek approval of the direction and finished site before launch. Approval does not remove rights concerning defects or services not supplied as agreed.

04

Prices, deposit and final balance

The 25% setup deposit secures your project slot; the 75% final launch balance is due after approval of the finished site and before launch or handover. Payments go through the three Stripe pricing tables on the services page, not separate deposit or balance payment links. Any ongoing platform or support charges must be disclosed and agreed separately before ordering.

We are not VAT registered: no VAT is charged. The agreed total is shown before payment. We do not add prohibited consumer payment surcharges. Invoices identify the supplier, customer, services, dates, unique invoice reference and amounts due or paid. If our tax status changes, existing agreed prices are not unilaterally increased.

We may withhold launch or unpaid deliverables for overdue undisputed payments, with reasonable notice, without restricting statutory remedies. We do not keep a deposit automatically regardless of work or loss.

05

Consumer cancellation: 14 days

If you are a consumer ordering services online or at a distance, you normally have 14 days after the contract is made to cancel without giving a reason. Email morola@poshglobalservices.co.uk or write to our postal address with a clear cancellation statement. You may use the model form below but do not have to. If required cancellation information was not provided, the period may be extended by law.

We do not start consumer project work during that period unless you separately make an express request in writing. Agreeing to these terms or paying a deposit is not that request. If you request an early start and then cancel, a proportionate amount for services actually supplied may be payable only where the legal information and request requirements were met; the rest is refunded. The right to cancel is lost after full performance only where you requested early performance and acknowledged that consequence in advance.

A refund due following statutory cancellation is normally made within 14 days of your cancellation notice using the same payment method, without a refund fee. Supplying a bespoke service does not by itself remove the service cancellation right. Any separately supplied digital content requiring different consent will be agreed separately before delivery.

06

Model consumer cancellation form

To: POSH GLOBAL SERVICES LTD, 1 Winterberry Way, Nantwich, CW5 7NZ; morola@poshglobalservices.co.uk. I hereby give notice that I cancel my contract for the following service: [service / order reference]. Ordered on: [date]. Consumer name: [name]. Consumer address: [address]. Date: [date]. Signature: [only if sent on paper].

07

Satisfaction guarantee and other cancellations

Our satisfaction guarantee applies to the proposed design direction: if you tell us you are not happy with that direction before authorising the further build, your setup deposit is refunded. This is additional to your statutory rights, not a substitute for them.

Outside a statutory cancellation right or this guarantee, if you cancel we will account for work already reasonably carried out and agreed non-recoverable costs, allowing for costs saved. Any retained payment or additional amount must be reasonable and proportionate, not a penalty. Unearned amounts are refunded. We will explain the calculation; a deposit is not automatically forfeited.

If we end a project for a material breach, we will normally give written notice and a reasonable chance to put it right unless the breach is serious or unlawful. We account for delivered work and refund any unearned amount. Payment after launch does not remove rights to remedies for faulty or misdescribed services.

08

Your materials and timescales

Provide accurate project information, assets and feedback, and obtain permission for content, logos, photos and personal information you supply. You remain responsible for your business's prices, claims, trading policies and lawful use of your website. We may decline unlawful or infringing material. We remain responsible for our own obligations.

Timetables depend on timely assets, approvals and third-party access. We will notify you of material delays and agree a revised timetable rather than promise an unconditional launch date. Delays do not entitle us to new fees without agreement. Where no timeframe is agreed, services will be supplied within a reasonable time.

09

Platforms, hosting and ongoing support

Tally, Cal.com, Stripe and other agreed platforms have their own terms, limits and charges. The proposal identifies who owns and administers accounts, hosting and domains and what ongoing support is included. We do not assume every account is owned by you or promise unlimited free usage. Subscription cancellation and renewal terms must be disclosed before you agree.

Third-party outages or changes outside our reasonable control may affect delivery. We will use reasonable care in selection and integration and assist within the agreed scope. This is not a blanket exclusion of responsibility for our own work, and consumer rights remain unaffected.

10

Intellectual property and confidentiality

You retain rights to the materials you provide and allow us to use them to deliver your project. On full payment, you receive the rights to our bespoke deliverables specified in your proposal. Pre-existing tools, reusable code, open-source software and third-party assets remain subject to their own ownership and licences; where necessary we provide a licence to use our included materials with your site. Platform access and transferability depend on the relevant provider.

Both parties will protect confidential project information, except disclosures required by law or reasonably needed for delivery with appropriate safeguards. We only identify you as a client or show your completed work in marketing with permission. We may reuse generic skills and methods without disclosing your confidential information.

11

Quality, remedies and fair limits of liability

We supply services with reasonable care and skill. We cannot guarantee particular sales, bookings, revenue or search rankings. For consumers, applicable rights under the Consumer Rights Act 2015 remain, including repeat performance or an appropriate price reduction where available. You should report a problem promptly so we can investigate; this does not impose an artificial deadline on legal rights.

Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability or right that law does not permit us to restrict. For consumers, we do not exclude foreseeable loss caused by our breach; we are not responsible for business losses where services were bought solely for personal use.

For business customers only, and subject to applicable statutory reasonableness requirements, our aggregate liability for claims arising from a project is limited to the total fees paid or payable for that project. Subject to those same requirements and the exceptions above, we exclude indirect or consequential business loss and loss of profit, revenue or anticipated savings. This limit does not reduce a refund expressly due under the contract or mandatory law.

12

Privacy, complaints and disputes

Our Privacy Policy explains personal data handling; terms acceptance is not consent to optional marketing or tracking. Where a project involves processing your customers' personal data on your instructions, any required data-processing arrangements must be agreed before processing starts.

Raise complaints with morola@poshglobalservices.co.uk and include your order reference and the outcome you seek. We will investigate and try to resolve the issue fairly. If a consumer complaint cannot be resolved, we will provide applicable information about an appropriate alternative dispute resolution body and whether we are obliged or willing to use it. Nothing prevents you using the courts or statutory remedies.

English and Welsh law governs these terms, subject to mandatory protections that apply to consumers. Business disputes are subject to the courts of England and Wales. Consumers may use the courts available to them under applicable law, including their home UK jurisdiction. If a clause cannot lawfully apply, the remaining terms continue so far as lawful.
